End User Licence Agreement

This agreement is between you and TUNE SCORE SRL, Romania ("we"), the maker of SOLD CUT (brand: SOLD OUT MEDIA). By installing, activating or using SOLD CUT you accept it. If you do not accept it, do not install or use SOLD CUT; if you bought it, see section 9.

1. The licence

SOLD CUT is licensed, not sold. For each licence key you bought (or received from us), we give you a personal, non-exclusive, non-transferable right to install and use SOLD CUT for your own work, including paid work for your clients, on up to 2 Macs at the same time. You can move the licence to another Mac from the app or from your account at soldcut.app/account.

2. What you may not do

• share your licence key, or use one key on more Macs than it allows;
• copy, sell, rent, lend, sublicense or publish SOLD CUT or any part of it, including its files, engine, templates and assets;
• remove, bypass or disable the licence check, the activation, the code signature or any other protection;
• reverse engineer, decompile or disassemble SOLD CUT, except where the law allows it despite this agreement (for example, to make it work with other software);
• use SOLD CUT to build a competing product.

3. Activation and internet

SOLD CUT activates once online with your licence key and then works offline. It checks the licence again when it is online; after 60 days without internet it asks to connect once. Activation sends the licence key, an anonymous identifier of the Mac (a hash, not the serial number), the Mac's name and the SOLD CUT version to licence.soldcut.app. Nothing else about your media or projects is sent.

4. Your media and the optional AI features

Your video, audio and projects stay on your Mac; SOLD CUT works on the project open in DaVinci Resolve Studio. The AI features are optional and off until you choose them:

• with your own Anthropic API key, the AI features you turn on send the transcript text to Anthropic, under Anthropic's terms;
• with SOLD CUT credits, the same text goes to Anthropic through our server, and cloud transcription uploads the episode's sound (the microphones, mixed) through our server to our speech provider (AssemblyAI). Deletion of the sound and its transcript is requested when the job ends and retried if the provider is unavailable. Our server retains billing records and the identifiers needed to track consumption and complete cleanup; it does not store the uploaded audio.

Credits are bought through Lemon Squeezy, are tied to the licence e-mail, do not expire. Unused jobs are refunded automatically; provider work already started may still be charged. Contact support about a charged job without a usable result.

5. Other software

SOLD CUT needs DaVinci Resolve Studio, which is not included and has its own licence. SOLD CUT includes third-party components under their own licences (for example FFmpeg, Python and the Whisper speech model); those licences apply to those components. FFmpeg's licence is in the app bundle (Contents/Resources/licenses).

6. Updates

Updates for the version you bought are included and arrive in the app. We may change or remove features in later versions.

7. Termination

This licence ends automatically if you break sections 1 or 2. A licence can also be revoked if the payment is refunded or charged back. When it ends you must stop using SOLD CUT and delete it.

8. Warranty and liability

Always keep a copy of your projects and check every edit before you deliver it. SOLD CUT is designed to work on copies of your timelines, but it is provided "as is", without any warranty that it will be free of errors, to the extent the law allows. To the extent the law allows, we are not liable for indirect or consequential damage, lost profit or lost data, and our total liability is limited to the price you paid for the licence. Nothing in this agreement limits rights you have as a consumer that cannot be limited by contract, or liability for intent or gross negligence.

9. Purchase and refunds

Purchases are handled by our reseller Lemon Squeezy (the merchant of record), under its terms. Write to [email protected] about refunds.

10. Law

This agreement is governed by the law of Romania. If you are a consumer in the European Union, you also keep the protection of the mandatory law of the country where you live and can go to its courts.
